A Review of Indemnity Agreements and Indemnity Provisions

The EBA Risk Management and Legal/ Bank Regulatory MDGs will host a joint call this month.  Attorneys Pam Elkow of Carmody Torrance Sandak & Hennessey, and Carla Nelson of First Citizens Bank will present their EBA Risk Committee Tip Sheet, which is a timely update to a version Pam presented a few years ago.  The Tip Sheet will be available to EBA members via download from the web site; membership edits to the Tip Sheet are requested.  Members and Non-members will be able to access the PPT deck which will be included in the Agenda posted on the website and the email announcement.  This call should be of interest to everyone in the roster… and applies to more than just our professional world -- The agreements are everywhere and this call will help navigate the agreements in the future.
Lenders frequently use and/or rely on indemnification agreements as part of their risk mitigation strategy for a given transaction. An indemnification agreement (or “indemnity”) is an agreement by which one party, the indemnitor, holds another party, the indemnitee, harmless against a legal loss under certain conditions. Indemnities allow parties to allocate risk among themselves by providing a contractual remedy in addition to other contractual, statutory or common law remedies. This tip sheet identifies a number of issues to be considered when drafting or evaluating an indemnity. While generally we will be discussing indemnity agreements between lenders and their borrowers, lenders should also review indemnity agreements or provisions between borrowers and sellers, as they provide an indirect level of protection to the lender during the term of the loan, and may be critical in the event that the lender elects to foreclose on the note.

EBA E&E Media Club - What is it?  Our new Education and Entertaining (E&E) Media Club is an EBA member-driven media forum that focuses on education and entertainment.  

There are so many great books and other media sources that explain why we have jobs. We invite you to make suggestions on resources for how to be better professionals / humans, or give life lessons, or just plain make you laugh.  We plan on doing bi-monthly reviews of books, movies and webcasts, which may be related to the environmental business we work in, the history of our practices, business growth, or just because you should.  Participation is voluntary.  We will try to ensure books are available in multiple formats (such as audio books), but you will be responsible to obtain the media.

As we launch this, we plan for bi-monthly updates, and will communicate in advance which book or movie / webcast we are reviewing.  We will be using the EBA Risk Management Member Development Group Blog to disseminate information.  Any book worms or movie critics who are interesting in assisting with reviews or ideas on books/movies/etc. please contact Jeffrey Sotek at 518-344-9853 or jeff.sotek@amecfw.com.  There is no obligation for members to read, listen or watch anything, but it may be fun, and we hope you'll join us.
